Service Agreement

1.         This Agreement is made between Nebula Venture Limited (hereafter referred as “Party A”) and Client (hereafter referred as “Party B”).

2.         Shortly after Party B has paid the fees for requesting accessing the domain: Nebula.Ventures for operating virtual commodity: Filecoin via electronic means to Party A and provision of the personal particulars, Party A shall issue a written confirmation on the completion of such access on the operation of Filecoin in the account of Party B by email. Party B shall not revoke or repudiate the request and ask for refund and claim for compensation after Party A has confirmed in writing on the access request.  Such access shall not be transferable.

3.         Thereafter, Party B shall follow the operation instructions of Party A, and Party B is at liberty to operate the transaction of the relevant Filecoin.

Exclusion Clauses

4.        For the avoidance of doubt, it is declared that Filecoin are not the products of Party A.

5.        Party A shall not guarantee the operation of Filecoin as per their schedules, including but not limited to delay and cancellation.  Party B shall solely assume any losses arising from the cessation of operation of the Filecoin and shall not claim against Party A for any compensation for such losses.

6.         In the event of any acts of god, riot, war or any extraneous conditions, which are beyond Party A’s control, that affects the normal operation of Nebula.Ventures, Party B shall not claim against Party A for any compensation.

Confidentiality and Personal Data Privacy

7.         Both Parties shall only release the content pertaining to this Agreement to the third party unless with the written approval of the other Party.  Each party shall ensure that its company, employees and agents comply with the duties of use and retention of personal information relating to the Agreement as stipulated in the Personal Data (Privacy) Ordinance, Chapter 486 of Laws of Hong Kong

Interpretation and Jurisdiction of the Terms of Agreement

8.         Any interpretation of the terms of this Agreement shall observe and refer to the laws of the Hong Kong Special Administrative Region.  In case of any future dispute on the terms of this Agreement, the resolution and mode shall be the jurisdiction of this Region.
